Produces a comparative memo analyzing alternative deal structures (asset sale vs. stock sale, merger, carve-out, etc.) from a tax efficiency standpoint for both buyer and seller. Should address step-up in basis, section 338 elections, tax-free reorganization eligibility, and estimated tax cost/savings for each alternative.
